These Terms of Service ("Terms") govern your access to and use of the AlphaProof platform operated by J.N Family Holding, LLC d/b/a AlphaProof ("AlphaProof", "we", "us", or "our"), a Wyoming limited liability company, accessible at alphaproof.app, my.alphaproof.app, and through our mobile application (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
IMPORTANT: These Terms contain a binding arbitration clause and class action waiver in Section 21. Please read it carefully.
By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. Your continued use of the Service constitutes ongoing acceptance of these Terms, as amended from time to time.
You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. By creating an account, you represent and warrant that you meet these requirements and that all information you provide is accurate, current, and complete. We reserve the right to verify your eligibility at any time.
AlphaProof is a portfolio transparency and record-keeping platform. It enables users to record investment trades, generate cryptographically verifiable track records, and optionally share portfolio performance with other users. The Service includes:
AlphaProof is NOT a registered investment advisor, broker-dealer, or financial planner. AlphaProof is not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulator.
The Service is a transparency and record-keeping tool. Nothing on the Service constitutes investment advice, financial advice, trading advice, tax advice, or any other form of professional advice. Portfolio performance metrics, trade records, verification indicators, and any other information displayed on the Service are provided for informational and transparency purposes only.
Past performance of any portfolio or trader displayed on AlphaProof does not guarantee future results. Investment returns can and do vary, and the value of investments may go up or down. You may lose some or all of your invested capital.
You should not make investment decisions based solely on information displayed on AlphaProof. Always consult a qualified, licensed financial advisor before making any investment decisions. AlphaProof does not recommend, endorse, or evaluate any trader's strategy, portfolio, or investment approach.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Authentication is managed by Clerk. You agree to notify us immediately at security@alphaproof.app if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.
Trade records on AlphaProof are append-only by design. Once a trade is recorded, it cannot be edited, modified, or deleted. Each trade is cryptographically chained to the previous one using SHA-256 hashing, and chains are periodically anchored to the Bitcoin blockchain via OpenTimestamps. This mechanism provides independently verifiable proof that trade records have not been altered after the fact.
You acknowledge and accept that:
You are solely responsible for the accuracy of trades you enter manually. AlphaProof does not verify the accuracy of manually entered trades. Trades imported from linked brokerages or verified via statement upload carry a corresponding verification status indicator.
If you publish portfolios with public visibility (whether free or paid), you are a "Creator" and you accept the following additional obligations:
AlphaProof is not the author, publisher, or endorser of any Creator's trade records or performance data. Creators are solely responsible for the content they publish. If a Creator publishes fraudulent, misleading, or inaccurate information, the responsibility lies entirely with the Creator.
Creators who monetize their portfolios must also agree to the Creator Agreement, which governs the commercial terms of the creator-subscriber relationship.
If you follow or subscribe to a Creator's portfolio, you are a "Follower" or "Subscriber" and you acknowledge and accept the following:
Trades imported directly from a linked brokerage account through Plaid or SnapTrade receive a "Broker Verified" badge. You acknowledge and understand that:
Market data displayed on the Service (including stock prices, cryptocurrency prices, and portfolio valuations) is sourced from third-party data providers, including Polygon.io and CoinMarketCap. This data may be delayed by approximately 15 minutes or more for equities and may not reflect real-time market conditions.
AlphaProof does not guarantee the accuracy, completeness, or timeliness of any market data. Market data is provided "as is" for informational purposes only and should not be relied upon for making trading or investment decisions. We are not responsible for errors, omissions, or delays in third-party market data.
The Service integrates with third-party providers to deliver core functionality:
By linking a brokerage account through Plaid or SnapTrade, you authorize AlphaProof to retrieve your investment transaction data from the connected institution. You may revoke this access at any time by disconnecting the brokerage from your account settings.
We are not responsible for the availability, accuracy, or security practices of any third-party service. Your use of third-party services is governed by their respective terms and policies.
Certain Creator portfolios require a paid subscription to access. Subscription fees are billed through Stripe on a recurring monthly basis. By subscribing, you authorize Stripe to charge your payment method on a recurring basis until you cancel.
Cancellation: You may cancel your subscription at any time through the Service. Cancellation takes effect at the end of the current billing period. You will retain access to the subscribed portfolio until the end of the period you have already paid for.
Refunds: Subscription payments are generally non-refundable. Refunds may be issued at AlphaProof's sole discretion in cases of technical error or billing disputes. If you believe you have been charged in error, contact support@alphaproof.app within 30 days of the charge.
Creators who monetize their portfolios receive payouts through Stripe Connect. The revenue split is as follows:
The minimum subscription price a Creator may set is $1.00 USD per month. Payouts are processed according to Stripe Connect's standard payout schedule.
By monetizing a portfolio, Creators agree to the Stripe Connected Account Agreement and the AlphaProof Creator Agreement. Creators are solely responsible for reporting and paying all applicable taxes on their earnings.
AlphaProof reserves the right to modify the platform fee with 30 days' prior written notice.
AlphaProof reserves the right, at its sole discretion, to modify, introduce, or discontinue any fees, pricing structures, subscription tiers, platform fees, or revenue share percentages at any time. This includes but is not limited to:
We will provide at least 15 days' prior written notice (via email or prominent in-app notification) before any pricing change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the new pricing. If you do not agree to the new pricing, you may cancel your account or downgrade your plan before the change takes effect.
Pricing changes will not affect subscription periods that have already been paid for. Any new fees will apply only to future billing cycles or new usage occurring after the effective date of the change.

We reserve the right to suspend or terminate your account immediately and without notice if we determine, at our sole discretion, that you have violated these Terms or engaged in any prohibited activity.
By using the Service, you grant AlphaProof the unrestricted right to audit, review, investigate, and monitor all activity on your account, including but not limited to trade records, portfolio data, verification status, login patterns, and usage behavior, at any time and without prior notice, for the purpose of detecting and preventing fraud, manipulation, abuse, or any violation of these Terms.
In connection with this right, AlphaProof may, at its sole and absolute discretion, take any of the following actions without liability to you:
You acknowledge that AlphaProof has no obligation to audit any particular account, and the exercise or non-exercise of this right does not create any duty of care toward you or any third party. AlphaProof's decision to take enforcement action is final and not subject to appeal, except as required by applicable law.
You agree to cooperate with any audit or investigation and to provide additional information or documentation upon request. Failure to cooperate may result in immediate account termination.
The Service, including its design, code, branding, logos, and documentation, is the property of J.N Family Holding, LLC d/b/a AlphaProof and is protected by applicable intellectual property laws. You retain ownership of the trade data you provide to the Service. By using the Service, you grant AlphaProof a limited, non-exclusive, royalty-free license to process, store, display, and distribute your trade data as necessary to operate the Service and provide its features (including displaying public portfolios to subscribers).
The Service lets you upload images and other content, including profile photos, avatars, and files or screenshots attached to trades ("User Content"). You retain ownership of your User Content. By uploading it, you grant AlphaProof a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, reformat, publish, and display that User Content as necessary to operate, provide, and promote the Service, including on public portfolios, share cards, and verification pages where you have made the associated portfolio public.
You represent and warrant that you own or have all necessary rights to the User Content you upload, that it does not infringe any third party's intellectual-property, privacy, or publicity rights, and that it does not violate any law or these Terms. You must not upload images of other people without their consent, content you lack the right to use, or any unlawful, infringing, or offensive material. You are solely responsible for your User Content. AlphaProof may, but is not obligated to, review, refuse, or remove any User Content at its discretion, including content reported to infringe a third party's rights.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
PAST PERFORMANCE DISPLAYED ON THE SERVICE DOES NOT GUARANTEE FUTURE RESULTS. ALL INVESTMENTS CARRY RISK, INCLUDING THE RISK OF TOTAL LOSS OF CAPITAL.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, J.N FAMILY HOLDING, LLC D/B/A ALPHAPROOF AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid to AlphaProof in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).
You agree to indemnify, defend, and hold harmless J.N Family Holding, LLC d/b/a AlphaProof and its members, managers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to:
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 4, 6, 7, 8, 14, 15, 16, 17, 18, and 21.
You may delete your account at any time by contacting support@alphaproof.app. Account deletion is subject to our data retention practices as described in our Privacy Policy.
If you are a California resident, you have certain rights under the California Consumer Privacy Act ("CCPA"), as described in our Privacy Policy. These include the right to know what personal information we collect, the right to request deletion of your data, and the right to opt out of the sale of your personal information. AlphaProof does not sell your personal information.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Before initiating any formal dispute resolution, you agree to contact us at support@alphaproof.app and attempt to resolve the dispute informally for at least 30 days.
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Sheridan County, Wyoming, United States, and the arbitrator's decision shall be final and binding.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than arbitration, you waive any right to a jury trial.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. For any matters not subject to arbitration, the exclusive jurisdiction and venue shall be the state or federal courts located in Sheridan County, Wyoming.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 15 days prior to the changes taking effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
AlphaProof shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, government actions or orders, power outages, internet or telecommunications failures, failures of third-party service providers (including Plaid, SnapTrade, Stripe, Polygon, and other integrated services), cyberattacks, blockchain network congestion, and exchange or market closures. During any such event, our obligations under these Terms are suspended for the duration of the event.
