Creator Agreement
Effective date: April 22, 2026
This Creator Agreement ("Agreement") is a binding contract between you ("Creator", "you", or "your") and J.N Family Holding, LLC d/b/a AlphaProof ("AlphaProof", "we", "us", or "our"), a Wyoming limited liability company. This Agreement governs the terms under which you may publish portfolios with paid subscriptions on the AlphaProof platform (the "Service").
This Agreement supplements the AlphaProof Terms of Service and Privacy Policy, which also apply to your use of the Service. In the event of a conflict between this Agreement and the Terms of Service, this Agreement controls with respect to Creator-specific matters.
By enabling paid subscriptions on any portfolio, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
1. Eligibility
To become a Creator with paid subscriptions, you must:
- Be at least 18 years old
- Have an active AlphaProof account in good standing
- Successfully complete Stripe Connect onboarding, including identity verification and acceptance of the Stripe Connected Account Agreement
- Provide accurate and complete information for tax reporting purposes
- Comply with all applicable laws and regulations in your jurisdiction
2. Trade Record Accuracy and Truthfulness
As a Creator, you attest and warrant that:
- All trade records you publish represent real investment transactions that you have personally executed or intend to execute with your own capital. Portfolios on AlphaProof are records of actual trading activity, not hypothetical models, simulations, paper trades, or theoretical strategies. By publishing a portfolio, you represent that the trades reflect your real investment decisions made with real money in real brokerage accounts
- All trade records you publish on the Service are truthful and accurate to the best of your knowledge
- You will not fabricate, falsify, or intentionally misrepresent any trade, position, or performance metric
- You understand that trade records are append-only and cannot be edited or deleted once committed to the cryptographic hash chain
- You will promptly notify AlphaProof if you discover any material error in your published trade records
- You are NOT providing investment advice. By publishing a portfolio, you acknowledge that sharing your personal trade history does not constitute investment advice, a recommendation to buy or sell any security, or a solicitation. You are sharing a record of your own activity for informational and transparency purposes only
- You understand that publishing fabricated, falsified, or manipulated trade records is a material breach of this Agreement that may result in immediate and permanent account termination, forfeiture of pending payouts, notification to your subscribers, and referral to law enforcement if applicable
AlphaProof provides verification tools (broker-verified imports, PDF statement attestation) to enhance trust, but the ultimate responsibility for the accuracy of your trade records lies with you.
3. Content Standards
Trade records, journal entries, and any rationale or commentary you publish on the Service must comply with the following standards:
- Trades must reflect real activity: Every trade you publish must represent a real transaction you personally executed or intend to execute. Hypothetical, simulated, or paper trades are not permitted on public or subscription portfolios
- Personal opinion is permitted; recommendations are not. You may share your personal reasoning and thesis behind a trade. Language that describes your own actions is acceptable (e.g., "I bought AAPL because I believe the valuation is attractive"). Language that recommends, suggests, or directs others to take action is prohibited (e.g., "You should buy AAPL", "This is a great entry point for everyone", "Don't miss this trade"). The distinction is between documenting what you did and telling others what to do
- No forward-looking guarantees: You may not make forward-looking performance promises or imply that your past results predict future returns
- No misleading context: If you reference your AlphaProof track record outside the platform (social media, newsletters, advertisements), you must present it accurately and in full context, without cherry-picking favorable periods or omitting material losses
4. Prohibited Conduct for Creators
In addition to the prohibited uses described in the Terms of Service, as a Creator you specifically agree not to:
- Make misleading claims: You may not make misleading, exaggerated, or fraudulent claims about your track record, investment performance, or expertise — whether on AlphaProof or on any external platform (social media, websites, advertisements, etc.) that references your AlphaProof data
- Distort AlphaProof data: You may not present your AlphaProof track record in a distorted, cherry-picked, or misleading manner outside the platform (e.g., showing only winning trades, misrepresenting time periods, omitting material losses)
- Provide investment advice: You may not use the Service to provide personalized investment advice, recommendations, or solicitations unless you are properly registered and licensed to do so under applicable securities laws
- Guarantee returns: You may not promise, guarantee, or imply guaranteed investment returns to current or prospective subscribers
- Engage in market manipulation: You may not use the Service in connection with any form of market manipulation, pump-and-dump schemes, front-running, insider trading, or other illegal trading activities
- Impersonate or misrepresent: You may not impersonate another person or entity, or falsely claim institutional affiliations or credentials you do not hold
5. Revenue Split and Payments
5.1 Revenue Share
For each subscription payment received from a subscriber to your portfolio, the revenue is split as follows:
- 80% goes to you (the Creator)
- 20% is retained by AlphaProof as a platform fee
The platform fee is calculated on the gross subscription amount before Stripe processing fees. Stripe's payment processing fees are deducted from the total transaction before the revenue split is applied.
5.2 Minimum Subscription Price
The minimum subscription price you may set for a paid portfolio is $1.00 USD per month. You may set any price at or above this minimum. All subscriptions are denominated and processed in United States Dollars (USD).
5.3 Payment Processing
All payments are processed through Stripe Connect. By enabling paid subscriptions, you agree to create and maintain a Stripe Connected Account and accept the Stripe Connected Account Agreement. Payouts are processed according to Stripe's standard payout schedule for your region.
AlphaProof is not responsible for delays in Stripe payouts, Stripe account holds, or issues arising from Stripe's identity verification process.
5.4 Fee and Pricing Changes
AlphaProof reserves the right, at its sole discretion, to modify any fees, pricing structures, or revenue share percentages that apply to Creators at any time. This includes but is not limited to:
- Modifying the platform fee percentage (currently 20%)
- Introducing new fees for Creator features, tools, or services that are currently free
- Changing minimum or maximum subscription prices
- Introducing tiered platform fees based on revenue volume, plan level, or other criteria
- Modifying payout schedules or introducing payout-related fees
We will provide at least 15 days' prior written notice (via email to the address associated with your account) before any fee change takes effect. Your continued use of paid subscription features after the effective date constitutes acceptance of the new fee structure. You may terminate this Agreement if you do not accept the new fees by disabling paid subscriptions before the effective date.
Fee changes will not affect Creator payouts for subscription periods that have already been billed and collected before the effective date.
6. Subscription Cancellation and Refund Policy
- Subscribers may cancel their subscription to your portfolio at any time
- Cancellation takes effect at the end of the current billing period. The subscriber retains access until the period they have already paid for expires
- No prorated refunds are issued for partial billing periods
- AlphaProof may issue refunds at its sole discretion in cases of technical error, duplicate charges, or billing disputes
- In the event AlphaProof issues a refund to a subscriber, the corresponding Creator payout for that transaction will be reversed or deducted from future payouts
7. Tax Responsibility
You are solely responsible for determining, reporting, and paying all applicable federal, state, local, and international taxes on your Creator earnings, including but not limited to income tax, self-employment tax, and any applicable sales or value-added taxes.
AlphaProof (or Stripe on AlphaProof's behalf) may be required to report your earnings to the IRS or other tax authorities. Under current IRS rules, if your gross earnings exceed $5,000 per calendar year, Stripe will issue a Form 1099-K to you and to the IRS. You are responsible for providing accurate tax information (e.g., W-9) when requested and for reporting all earnings regardless of whether a 1099-K is issued.
AlphaProof does not provide tax advice. Consult a qualified tax professional regarding your obligations.
8. Audit, Enforcement & Content Removal
By accepting this Agreement, you grant AlphaProof the unrestricted right to audit, review, investigate, and monitor all activity on your Creator account — including trade records, portfolio data, verification status, payout history, and subscriber interactions — at any time and without prior notice.
AlphaProof reserves the right, at its sole and absolute discretion, to:
- Review Creator portfolios and all associated data for compliance with this Agreement and the Terms of Service
- Remove, disable, hide, or restrict access to any portfolio, trade record, or content
- Modify the visibility of your portfolios (e.g., from public to private)
- Suspend or permanently terminate your Creator status and/or your AlphaProof account
- Freeze, withhold, or reverse payouts associated with suspicious or violating activity
- Notify your subscribers if we determine your track record has been materially misrepresented
- Report suspected illegal activity to law enforcement or regulatory authorities
You agree to cooperate fully with any audit or investigation, including providing additional documentation upon request. Failure to cooperate may result in immediate account termination and forfeiture of pending payouts.
AlphaProof's decision to take enforcement action is final. The exercise or non-exercise of these rights does not create any duty of care toward you, your subscribers, or any third party.
9. Indemnification
You agree to indemnify, defend, and hold harmless J.N Family Holding, LLC d/b/a AlphaProof and its members, managers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to:
- Any trade records, performance data, or content you publish on the Service
- Any misrepresentation, fraud, or inaccuracy in your published data
- Any claims by subscribers or third parties arising from your use of the Service as a Creator
- Your violation of this Agreement, the Terms of Service, or any applicable law or regulation
- Any investment losses suffered by subscribers who followed your portfolio
- Any tax liability you incur related to your Creator earnings
10. Disclaimers
AlphaProof does not endorse, recommend, or guarantee the performance of any Creator. The platform provides transparency and verification tools, but past performance does not guarantee future results. AlphaProof is not responsible for investment decisions made by subscribers based on Creator portfolios.
AlphaProof is not a party to any financial relationship between Creators and their subscribers. The Service facilitates transparency, not investment advisory services.
11. Term and Termination
This Agreement is effective from the date you enable paid subscriptions and continues until terminated.
- Termination by you: You may terminate this Agreement at any time by disabling paid subscriptions on all your portfolios and contacting support@alphaproof.app. Existing subscribers will retain access until their current billing period ends, and outstanding payouts will be processed according to Stripe's schedule.
- Termination by AlphaProof: We may terminate this Agreement and your Creator status at any time, with or without cause, by providing notice to your registered email address. In cases of fraud or serious violations, termination may be immediate.
- Effect on published history: Upon termination or suspension, your previously published trade records and portfolio history will remain visible on the platform as a historical, read-only record. This is a fundamental property of the append-only, Bitcoin-anchored architecture: once committed, trade records exist permanently in the cryptographic chain. Your portfolio may be marked as "Suspended" or "Closed" to inform viewers, but the historical data will not be deleted or hidden, as doing so would compromise the integrity of the verification system for all users
- Payout handling: In cases of termination for fraud or material misrepresentation, AlphaProof reserves the right to freeze and forfeit any pending payouts. In cases of voluntary termination or termination without cause, outstanding payouts will be processed according to Stripe's standard schedule
Sections 2, 3, 4, 7, 9, and 10 of this Agreement survive termination.
12. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Wyoming, United States. Disputes arising from this Agreement are subject to the arbitration provisions in Section 21 of the Terms of Service, including the binding arbitration clause and class action waiver.
13. Modifications
AlphaProof may modify this Agreement at any time. We will notify you of material changes by email at least 15 days before the changes take effect. Your continued use of paid subscription features after the effective date constitutes acceptance of the modified Agreement. If you do not agree, you must disable paid subscriptions and terminate this Agreement.
